Terms of Service
These Terms of Service ("Terms") are a binding agreement between you ("you", "your") and IndexLabs ("IndexLabs", "we", "us", "our") governing your use of indexlabs.io and any related services (the "Service").
By accessing or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
1. The Service
IndexLabs operates an Agent Experience (AX) audit platform. The Service evaluates how well publicly accessible websites function for AI agents, generates diagnostic reports and scores, and may publish results in a public benchmark leaderboard.
We may modify, suspend or discontinue any part of the Service at any time without notice.
2. Eligibility
You must be at least 16 years old to use the Service. By using the Service, you represent that you meet this requirement and have the legal capacity to enter into these Terms.
If you use the Service on behalf of an organisation, you represent that you have authority to bind that organisation, and "you" includes that organisation.
3. Accounts
Some features require an account. You agree to:
- Provide accurate and complete information;
- Keep your credentials confidential;
- Notify us immediately of any unauthorised access;
- Be responsible for all activity under your account.
We may suspend or terminate accounts that violate these Terms.
4. Acceptable use
You agree not to:
- Submit URLs you are not authorised to test, where authorisation is required (see Section 5);
- Use the Service to test, audit, or interact with websites in a way that violates the target website's terms of service or applicable law;
- Submit URLs to malicious, illegal, or harmful content;
- Use the Service to launch denial-of-service attacks, scrape at unreasonable rates, or otherwise abuse infrastructure;
- Reverse-engineer, decompile, or attempt to extract source code from the Service;
- Resell, sublicense, or commercially exploit the Service without written agreement;
- Misrepresent results, fabricate audits, or manipulate scores;
- Use the Service to develop a competing product;
- Violate any applicable law in connection with your use of the Service.
We may suspend, restrict or terminate access for any breach of this section.
5. Auditing publicly accessible websites
You acknowledge and agree that:
- The Service operates by sending automated agents to fetch and interact with publicly accessible website content, in a manner functionally similar to search engine crawlers and AI assistants.
- We may audit any publicly accessible website without the prior consent of its operator, provided the audit is conducted in accordance with applicable law and reasonable technical practices (including respecting
robots.txtwhere applicable to crawling activity). - You may submit URLs of websites you do not operate, provided you have a reasonable basis for doing so (for example, competitive research or industry analysis).
- You are responsible for any URL you submit. You indemnify us against claims arising from your submission of URLs that violate these Terms or applicable law.
6. The benchmark leaderboard and public reports
6.1 Publication
We may publish audit scores, rankings, methodology, and aggregated findings on our website, in industry reports, and in marketing materials. Published data may identify the operating organisation by domain name and trading name.
6.2 Nature of scores
Scores and rankings published by IndexLabs:
- Reflect our methodology at the time of audit;
- Are point-in-time and may not reflect the current state of the audited website;
- Are derived from automated systems (see Section 4 of our Privacy Policy);
- Are not endorsements, accusations of wrongdoing, or legal claims about the competence of any person or organisation;
- Are provided for informational, research, and educational purposes.
6.3 Methodology transparency
Our scoring methodology is published at /methodology and is intended to be reproducible. We welcome feedback and will consider methodology improvements over time.
6.4 Right of review and removal
If you are an authorised representative of an organisation listed on the leaderboard or in a published IndexLabs report, you may:
- Request a re-audit if you believe the published score does not reflect the current state of your website;
- Submit a right of reply — a statement of context (up to 300 words) that we may publish alongside your entry at our discretion;
- Request correction of factual errors in published material;
- Request removal from the leaderboard.
To make a request, email hello@indexlabs.io with the URL, organisation name, the basis for your request, and any supporting information.
We will acknowledge requests within 7 days and respond substantively within 30 days. We will action correction requests where the request is substantiated. We will action removal requests at our discretion, having regard to public interest, the integrity of the benchmark, and applicable law.
7. Intellectual property
7.1 Our IP
The Service, including all software, design, methodology, scores, reports, and aggregated benchmark data, is owned by IndexLabs or our licensors and is protected by intellectual property laws. Except as expressly granted in these Terms, no rights are transferred to you.
7.2 Your content
You retain ownership of any content you submit (including URLs and any associated information). You grant IndexLabs a worldwide, non-exclusive, royalty-free licence to use, reproduce, process, and display such content as necessary to provide the Service, develop our methodology, and publish aggregated or anonymised findings.
7.3 Audited website content
We do not claim ownership of content fetched from third-party websites during audits. Such content is processed solely for the purpose of generating audit results and is handled in accordance with our Privacy Policy.
7.4 Feedback
If you provide feedback or suggestions, you grant us an unrestricted, perpetual, royalty-free licence to use it without obligation to you.
8. Paid services
If you purchase a paid report or subscription:
- Pricing is as displayed at the time of purchase;
- Fees are payable in advance and are non-refundable except where required by law;
- We may change pricing on notice; changes do not affect already-purchased reports;
- Payments are processed by third-party providers; we do not store full payment details.
Australian consumer guarantees under the Australian Consumer Law apply and are not excluded by these Terms.
9. Disclaimers
To the maximum extent permitted by law:
- The Service is provided "as is" and "as available", without warranties of any kind, express or implied.
- We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components.
- We do not warrant the accuracy, completeness, or fitness for purpose of any audit result, score, or recommendation.
- Audit results reflect the behaviour of specific AI agents at a specific point in time and may not be reproducible.
- Reliance on Service outputs is at your own risk. The Service does not constitute professional advice.
Nothing in this section excludes, restricts, or modifies any consumer guarantee or other right that cannot be excluded under applicable law (including the Australian Consumer Law).
10. Limitation of liability
To the maximum extent permitted by law:
- Neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or business opportunities, arising out of or in connection with these Terms or the Service.
- Our total aggregate liability arising out of or in connection with these Terms or the Service is limited to the greater of (a) the amount you paid to us in the 12 months preceding the event giving rise to the liability, or (b) AUD $100.
Where Australian consumer guarantees apply and cannot be excluded, our liability is limited (where permitted) to re-supplying the Service or paying the cost of having the Service re-supplied.
11. Indemnity
You agree to indemnify and hold harmless IndexLabs, its directors, employees and agents from any claim, loss, liability, or expense (including reasonable legal fees) arising from:
- Your breach of these Terms;
- Your misuse of the Service;
- URLs or content you submit;
- Your violation of applicable law or third-party rights.
12. Termination
You may stop using the Service at any time. You may close your account by contacting us.
We may suspend or terminate your access to the Service at any time, with or without notice, for any breach of these Terms or for any other reason at our discretion.
Sections that by their nature should survive termination (including 7, 9, 10, 11, 13, and 14) survive termination.
13. Governing law and disputes
These Terms are governed by the laws of New South Wales, Australia. The parties submit to the exclusive jurisdiction of the courts of New South Wales and the federal courts of Australia.
Before commencing legal proceedings, the parties will attempt in good faith to resolve any dispute by direct negotiation for at least 30 days.
14. General
- Entire agreement — these Terms, together with the Privacy Policy and any other policies referenced, constitute the entire agreement between you and IndexLabs regarding the Service.
- Changes — we may update these Terms from time to time. Material changes will be notified by updating the "Last updated" date and, where appropriate, by notice in the Service. Continued use after changes take effect constitutes acceptance.
- Severability — if any provision is held unenforceable, the remainder remains in effect.
- No waiver — failure to enforce any provision is not a waiver.
- Assignment — you may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- No agency — nothing in these Terms creates an agency, partnership, or employment relationship.
